Michael Swartz
is co-chair of Schulte Roth & Zabel’s litigation group and head of the shareholder activism litigation practice. He focuses on complex commercial litigation, particularly corporate control disputes including shareholder activist, M&A and securities litigation – including class actions – as well as private investment fund disputes. In a highly important activist litigation precedent, Michael prevailed in representing Politan Capital Management in a dispute with Masimo Corporation regarding its adoption of preclusive advance notice by-laws – making it virtually impossible for investment funds to nominate candidates for Masimo’s board – that could have eliminated shareholder activism as an asset class. The judge awarded Politan nearly USD18 million for forcing Masimo to abandon its entrenchment tactics.
